Halo — AI Voice Companion

These Terms of Use (“Terms”) govern your access to and use of the Halo mobile application (“Halo”, “the App”) operated by Lahoika OÜ (“we”, “us”, “our”), a company registered in Estonia (registry code 17475517). By downloading, accessing, or using Halo, you agree to be bound by these Terms.

1. About Halo

Halo is an AI-powered voice journaling and self-reflection companion. Halo uses artificial intelligence to facilitate conversations, generate journal entries, track emotional patterns, and provide insights based on your spoken input.

Halo’s responses, journal summaries, insights, and pattern analyses are generated by artificial intelligence. This content may be inaccurate, incomplete, or inappropriate. AI-generated content should not be relied upon as professional advice of any kind (medical, psychological, legal, financial, or otherwise). You are responsible for your own decisions and actions.

2. Eligibility

You must be at least 18 years old to use Halo. By using the App, you represent and warrant that you are at least 18 years of age. If you are under 18, please do not use Halo.

3. Your Account

You may create an account using Apple Sign In, Google Sign In, or anonymous authentication. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

You agree to provide accurate information and to notify us promptly if you suspect unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

4.1 Free and Premium Tiers

Halo offers a free tier with limited features and a premium subscription that unlocks additional features including voice responses, deeper talk sessions, AI insights, and weekly voice digests.

4.2 Pricing

Premium subscription prices are displayed in the App at the time of purchase. Prices may vary by region and are subject to change. Current pricing is communicated through the App and the applicable app store.

4.3 Billing

Subscriptions are billed through Apple App Store or Google Play Store. Payment is charged to your app store account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your device’s subscription settings (iOS: Settings > Apple ID > Subscriptions; Android: Google Play Store > Subscriptions). Cancellation takes effect at the end of the current billing period — you retain access to premium features until then. Refunds are handled by Apple or Google according to their respective refund policies.

4.5 Fair Use and Session Limits

Halo is a personal journaling companion. Subscription plans include a fair-use allowance of up to 100 voice sessions per calendar month. Under normal personal use this limit is significantly higher than typical usage; it exists to protect the service from automated abuse and excessive consumption that would be incompatible with a fixed-price subscription.

If your usage materially exceeds the fair-use allowance we may, at our sole discretion:

• Notify you and temporarily switch voice features to text-only chat until the next billing cycle;
• Apply additional rate limits (e.g., cooldown periods between sessions, limits on sessions per hour);
• Require an upgraded plan for continued heavy usage;
• Suspend accounts that exhibit automated, scripted, or non-personal usage patterns.

We will not charge additional fees without your explicit consent — rate limits are the remedy. The current fair-use threshold is subject to change; the then-current value is always available on our website and in the App.

5. Acceptable Use

You agree not to use Halo to:

• Violate any applicable laws or regulations
• Attempt to extract, reverse-engineer, or manipulate AI system prompts
• Use the App to generate content that is harmful, abusive, threatening, or illegal
• Attempt to gain unauthorized access to our systems or other users’ data
• Use automated tools, bots, or scripts to interact with the App
• Operate the voice session continuously (for example, leaving the session open overnight) or otherwise generate usage that is not consistent with a single person journaling
• Impersonate another person or entity
• Interfere with or disrupt the App’s functionality

We reserve the right to suspend or terminate your access if you violate these Terms.

6. Your Content

6.1 Ownership

You retain ownership of the content you provide to Halo, including your voice input and the resulting transcripts. AI-generated content (summaries, insights, analysis) is created by our systems based on your input and is provided to you for personal use.

6.2 License

By using Halo, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing and improving the App’s services. We do not use your content for advertising, sell it to third parties, or use it to train AI models except as described in our Privacy Policy.

6.3 Responsibility

You are solely responsible for the content you provide. We do not monitor conversations in real-time but may review content when required by law or to investigate violations of these Terms.

7. Intellectual Property

The Halo name, logo, character design, visual identity, sound design, animations, and all related materials are the intellectual property of Lahoika OÜ. You may not copy, modify, distribute, or create derivative works based on any part of the App without our written permission.

The Rive animations, glow system, and AI companion character (“Halo”) are proprietary assets. Any unauthorized reproduction is prohibited.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Lahoika OÜ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, personal injury, or emotional distress arising from your use of Halo.

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim, or fifty euros (EUR 50), whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Lahoika OÜ from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications

We may update these Terms from time to time. We will notify you of significant changes through the App or via email. The “Last updated” date at the top indicates the most recent revision. Your continued use of Halo after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, please stop using the App.

12. Termination

You may stop using Halo at any time by deleting your account and uninstalling the App. We may suspend or terminate your access at any time for violation of these Terms or for any other reason at our reasonable discretion, with or without notice.

Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) shall survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Harju County, Tallinn, Estonia.

If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence, and you benefit from any mandatory provisions of consumer protection law in your country.

You may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lahoika OÜ regarding your use of Halo and supersede any prior agreements.
