Terms of Use

These Terms are an agreement between you and Lahoika OÜ (“Halo”, “we”, “us”) for the Halo mobile app, website, and related services. Please read them before using Halo.

1. Who operates Halo

Halo is operated by Lahoika OÜ, registry code 17475517, Hane tn 4, Kristiine, Tallinn 13418, Estonia. You can contact us at hello@speaktohalo.com.

2. Eligibility and acceptance

You must be at least 18 years old and legally able to enter this agreement. By creating or using a Halo account, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Halo.

3. What Halo is — and is not

Halo is a voice and text journaling companion. It can help you talk, write, organize reflections, and notice patterns. AI output may be incomplete, inaccurate, or unsuitable for your situation.

Halo is not medical care, psychotherapy, diagnosis, legal advice, or an emergency service. Do not rely on it for decisions that require a qualified professional. Halo is not continuously monitored by a person. If you or someone else may be in immediate danger, contact local emergency services or an appropriate crisis service now.

4. Accounts and access

Halo may create a temporary account automatically so the app can work before you link a sign-in method. You may be able to link Apple or Google later. You are responsible for keeping access to your device and linked account secure.

If you use an unlinked temporary account and lose the device, app data, or session credentials, we may be unable to restore or verify access. Do not share your account or use another person’s account without permission.

5. Free and Premium features

Halo’s free experience may include text chat and writing, daily mood check-ins, an initial onboarding voice experience, and a limited journal overview. Premium may include ongoing voice sessions, Listening mode, deeper conversations, full journal history and entry details, Insights, and richer cross-session memory.

Features may evolve as the product improves. We will not remove a paid core feature during an active paid period without a reasonable product or legal reason and appropriate notice where required.

6. Subscriptions, trials, billing, and refunds

Prices, billing periods, trials, introductory offers, and renewal terms are shown by the App Store or Google Play before you confirm a purchase. Those store terms are the source of truth for the offer available to your account and region.

A subscription renews automatically unless you cancel it through the store before the renewal deadline shown there. Apple or Google processes payment and handles cancellation and refund requests under its rules and applicable consumer law. Deleting your Halo account or uninstalling the app does not cancel a store subscription.

We may use reasonable rate limits and anti-abuse controls to protect service quality and costs. We will not add a new usage charge without showing it to you and obtaining the confirmation required by the store and applicable law.

7. Guest Passes

An eligible paying member may receive a limited number of Guest Passes. Availability, quantity, expiry, eligible recipient accounts, free period, renewal price, and other redemption terms can vary by platform and offer. The exact terms are shown before the recipient redeems through Apple or Google.

• A pass is single-use, has no cash value, and may not be sold or exchanged.
• A pass may be unavailable to an existing or previously subscribed account under store rules.
• The recipient chooses the store that will own the resulting subscription or offer.
• We may reject or revoke passes obtained through fraud, automation, resale, or technical abuse.

8. Your content and permission to process it

You keep ownership of the voice, text, journal, and other content you provide. You give us a limited, non-exclusive licence to host, transmit, reproduce, transform, and process that content only as needed to provide, secure, maintain, and support Halo, comply with law, and enforce these Terms.

This licence ends when the content is deleted from our active systems, except for lawful retention, provider processing cycles, backups, and de-identified information described in the Privacy Policy. We do not use your private journal content for targeted advertising or train general-purpose AI models on it unless we first give clear notice and obtain any consent required by law.

You must have the right to share content you submit. Do not use Halo to violate another person’s privacy, intellectual-property rights, or other rights.

9. Acceptable use

You may not:

• Use Halo for unlawful, fraudulent, abusive, threatening, or exploitative activity.
• Upload malware, attack the service, bypass security or rate limits, scrape it at scale, or automate access without permission.
• Reverse engineer the service except where applicable law expressly permits it.
• Impersonate another person, resell access, or interfere with another user.
• Use Halo or its output to make high-impact decisions about another person without lawful authority and appropriate human review.

10. Our software and intellectual property

Halo, its software, design, branding, characters, and service content are owned by Lahoika OÜ or its licensors. We grant you a personal, limited, non-exclusive, non-transferable, revocable right to use Halo for its intended purpose while these Terms apply.

Apple, Google, and third-party open-source licences may also apply to components distributed through their platforms.

11. Availability and changes to the service

We work to keep Halo reliable, but the service may be unavailable because of maintenance, provider failures, security incidents, legal requirements, or events outside our reasonable control. We may improve, replace, or discontinue features. When a change materially affects a paid service, we will give reasonable notice where practicable and respect mandatory consumer rights.

12. Suspension and termination

You may stop using Halo at any time and can delete your account as described on our Delete Your Account page.

We may restrict or suspend access when reasonably necessary to investigate fraud, protect users or systems, comply with law, address non-payment, or respond to a serious or repeated breach of these Terms. Where practicable, we will explain the reason and give you a chance to resolve it. We may terminate the service with reasonable notice if Halo is discontinued.

13. Disclaimers

Halo is provided with reasonable care and skill, but AI output and online services cannot be guaranteed to be uninterrupted, error-free, or suitable for every purpose. To the extent permitted by law, Halo is provided “as is” and “as available”. Nothing in these Terms excludes warranties or remedies that cannot lawfully be excluded.

14. Liability

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, death or personal injury caused by negligence, or mandatory consumer remedies.

Subject to that rule, neither party is responsible for indirect or unforeseeable loss. We are not responsible for loss caused by your unlawful misuse, failure to safeguard access, third-party store decisions, or events outside our reasonable control. If you use Halo as a consumer, your statutory rights remain unaffected.

15. Changes to these Terms

We may update these Terms to reflect product, provider, security, or legal changes. For a material change, we will provide reasonable notice in the app, on the website, or by email where available. Changes apply from the stated effective date. If you do not accept a material change, you may stop using Halo and cancel your subscription before the change takes effect, subject to store rules.

16. Governing law and disputes

These Terms are governed by Estonian law. If you are a consumer, you also keep the protection of mandatory law in your country of residence and may bring a claim in any court available to you under applicable consumer law.

Please contact us first so we can try to resolve a concern. Eligible Estonian and EU consumers may also contact the Estonian Consumer Disputes Committee or another competent alternative dispute-resolution body. This does not limit your right to go to court.

17. General

If a provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply. Our failure to enforce a provision immediately is not a waiver. We may transfer this agreement as part of a merger, reorganization, or sale of the service, provided your mandatory rights are not reduced. You may not transfer your account or rights without our permission.

These Terms and the Privacy Policy form the agreement between you and Lahoika OÜ about Halo, together with any store-specific terms shown when you purchase or redeem an offer.

18. Contact us
